1.1 By accepting the general conditions and the annexes defined in this document (Contract or Mandate), the subscriber (Host) confirms his intention to enter into the contract detailed below with the company CleanBnB SpA, with registered office in Via G Frua 20, 20146 Milan, VAT number 09365370965, hereinafter CleanBnB (Host and CleanBnB are hereinafter jointly referred to as Parties and, individually, Party ). 1.2 The Host is the sole owner or fully disposes of the Property defined in Annex I (the Property) and has the power to grant the enjoyment of the same, and is willing to lease it or, in any case, to grant the enjoyment of it to third parties (the Guest) for short periods according to current legislation. CleanBnB is a property management company that takes care of the necessary or appropriate activities for the purpose of renting the Property for short periods (the Services), according to the standards defined by CleanBnB in the provision of the 'Revenue Management service' or the 'Revenue and Reservation Management service'. The Parties agree that, where necessary or appropriate for the purposes of providing the Services, part of the obligations of the Contract will be assigned by CleanBnB to companies of the same group; for these activities, the references in the Contract to CleanBnB also refer to the assignee. 1.3 Host therefore intends to give CleanBnB a specific mandate relating to the Property and, with the signing of the Contract, agrees to regulate the reciprocal obligations for the performance of the related activities. 2. Object 2.1 Host grants CleanBnB, which accepts, the task of carrying out everything necessary to provide the Services relating to the Property (as indicated in Annex 1). 3. CleanBnB services 3.1 CleanBnB, through appointed personnel, may carry out an analysis of the listing of the Property arranged by the Host, before or during the start of the rental period, checking compliance with CleanBnB standards. Following this activity, CleanBnB will inform the Host of any changes, replacements or additions to the listing of the Property that are necessary, according to CleanBnB, before starting the Services. 3.2 CleanBnB will promote the Property directly on its online accounts on the main platforms such as (by way of example) Airbnb and Booking. Commercial policies (price, length of stay, etc.) are at the complete discretion of CleanBnB, as well as account management which will be reserved exclusively for CleanBnB. 3.3 Host will take care of the Guest reception service on the Property, consisting of the management of arrivals and departures, and control of the apartment. 3.4 Host will take care of the ancillary cleaning and change/washing of linen of the Property, as well as additional ancillary services such as supplies and maintenance (for damage, breakdown or wear), extraordinary cleaning or other, and related assistance, defined as Additional Services. 3.5 Host guarantees CleanBnB full availability of the Property itself, and is responsible for the continuity of supply and payments of utilities (electricity, gas, water, internet, etc.) and condominium expenses and will have to provide evidence of this if requested by CleanBnB. 3.6 Host will be responsible for administrative procedures, Guest data communication to relevant authorities, and any other obligations due directly from the Host to the Guest. 3.7 Host will collect directly the fees and/or considerations relating to contracts concerning the enjoyment of the Property stipulated through accounts managed by CleanBnB. 3.8 By the 30th day of each calendar month, Host will pay CleanBnB the Consideration (as defined in article 4) for the effective period of occupation accrued in the previous calendar month. 4. Consideration 4.1 As consideration for the Mandate, Host will pay CleanBnB, on a monthly basis, the sums specified in Annex 1, in the form of a percentage of the total gross booking value paid by the Guests for the enjoyment of the Property and/or a fixed price for each activity, which will in any case be subject to statutory VAT. 5. Duration 5.1 The Contract will have a duration of twelve months (from the date of first opening of the online availability calendars of the Property), or different if provided for in Annex 1, tacitly renewable for further periods of equal duration subject to cancellation to be sent by registered mail (or email with confirmation of receipt) with notice of at least sixty days before the deadline. If the Property is not available for reasons not attributable to CleanBnB, the contractual term will be extended for a period equal to that of unavailability. 5.2 CleanBnB will be entitled to carry out any Services that have been booked during the validity period of the Contract, but which fall on a date subsequent to the end of the Contract itself. Furthermore, if expressly provided for in Annex 1, CleanBnB will be able to provide the Services booked before the start of the Contract. 5.3 CleanBnB will have the right to withdraw from the Contract in advance at any time, with written notice of at least five working days, in the event that the Host fails to comply with CleanBnB's requests pursuant to art. 3.1. 6. General provisions 6.1 The Parties undertake to fulfill the obligations of the Contract with due diligence and in full compliance with the laws in force in Italy. 6.2 Host guarantees CleanBnB exclusivity on the activities that are the subject of this Contract, for the entire duration of the same. Host, without the prior written consent of CleanBnB, will not be able, directly or indirectly, to bypass CleanBnB, or activate any practice or form of relationship with third parties, including the Guests, with the aim of infringing the rights of CleanBnB pursuant to the this Contract. 6.3 The Parties acknowledge that no guarantee is provided by CleanBnB on the effective stipulation of contracts concerning the enjoyment of the Property and on the payment of fees by the Guests and no responsibility will be attributable to CleanBnB in relation to these points, it being understood that the CleanBnB standard still provides for payment by the Guest before the start of the stay. 6.4 CleanBnB will not be responsible for the risk of theft or damage to the Property. 6.5 Host is solely responsible for the Property's compliance with the legal requirements in terms of urban planning-building legitimacy, land registry, habitability and any other regulatory compliance and expressly indemnifies CleanBnB from any liability in this regard. The overall liability of CleanBnB under the Contract is in any case limited to the value of the Consideration. 6.6 All communications required by the Contract must be in writing and delivered by registered letter with return receipt or e-mail with confirmation of receipt to the addresses indicated in Annex 1. 6.7 Any modification or integration to the Contract will not produce any effect unless such modification or integration results from a written document accepted by both Parties. 6.8 The Parties agree not to disclose to third parties the information collected by the other Party or of which they are aware, which is confidential in both written and oral form, in relation to the Property and in general to the Contract. 6.9 Pursuant to the GDPR (EU Reg. 679/2016) regarding personal data, the Parties declare that they are informed on the purposes and methods of treatment and provision, consequences of refusal, subjects to whom they can be communicated and scope of dissemination, and exercisable rights. Such data will be managed according to lawfulness, correctness, transparency, purpose limitation and conservation, data minimization, accuracy, integrity and confidentiality. The Parties expressly consent to the processing of such data in order to fulfill their respective obligations. 6.10 For any controversy deriving from the Contract, the Court of Milan will have exclusive jurisdiction. The Contract is stipulated in double language; in case of conflict, the Italian version shall prevail. Pursuant to articles 1341 and 1342 of the Italian Civil Code Host specifically approves the following articles: 2.1 (Subject), 3.8-3.9-3.10 (Payments), 5.1 (Duration and automatic renewal), 5.3 (Faculty of Withdrawal), 6.2 (Exclusivity), 6.3-6.5 (Liability ), 6.10 (Competent Court)
